1. Service Description

Gatewaychecker is a software-as-a-service platform operated by Gatewaychecker Ltd ("Gatewaychecker", "we", "us", "our") that analyses building safety documents against BSA Gateway 2 rejection criteria and produces a pre-submission risk report.

The service is provided at gatewaychecker.co.uk and associated subdomains. By creating an account or using the service, you ("the Customer") agree to these Terms of Service.


2. Account Registration

2.1 To use Gatewaychecker, you must create an account using a valid email address. Authentication is via email magic link; no password is required.

2.2 You are responsible for maintaining the security of your account and for all activity that occurs under it.

2.3 You must be at least 18 years old and have authority to enter into contracts on behalf of any organisation you register. If you register on behalf of an organisation, these terms bind that organisation.

2.4 You must provide accurate information at registration. If any information changes, you must update it promptly.

2.5 Gatewaychecker reserves the right to suspend or terminate accounts where there is evidence of misuse, fraudulent information, or breach of these terms.


3. Acceptable Use

You must use Gatewaychecker in accordance with the Acceptable Use Policy, which forms part of these Terms of Service.

In summary, you agree to use Gatewaychecker only for its intended purpose (pre-submission review of BSA Gateway 2 documents), and not to misuse or attempt to circumvent the service, its security measures, or the terms on which it is provided.


4. Subscription and Payment

Plans

Gatewaychecker is offered under the following plans:

4.1 Billing: Subscriptions are billed monthly in advance via Stripe. Payment is due on the subscription start date and on the same date each subsequent month.

4.2 Submission limits: Each plan includes a maximum number of analyses per billing period. Submissions in excess of the plan limit will not be processed. Upgrade your plan to increase your limit.

4.3 Upgrades: Upgrades take effect immediately. You will be charged the pro-rated difference for the remainder of the current billing period.

4.4 Downgrades: Downgrades take effect at the end of the current billing period.

4.5 Cancellation: You may cancel your subscription at any time from the billing settings page. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused months.

4.6 Refunds: Payments are non-refundable except where required by applicable law, or at Gatewaychecker's sole discretion in exceptional circumstances.

4.7 Failed payments: If payment fails, we will retry the charge. If payment remains outstanding after 14 days, your account may be suspended until payment is received.

4.8 VAT: All prices are exclusive of VAT. VAT will be added at the prevailing rate where applicable.


5. Advisory Disclaimer

This clause is the most important in these Terms of Service. Please read it carefully.

5.1 Gatewaychecker is an advisory tool only. All outputs — including risk scores, findings, evidence citations, and remediation recommendations — are generated by artificial intelligence and are provided for informational and pre-submission review purposes only.

5.2 Gatewaychecker outputs are not a guarantee of BSR acceptance or rejection. A high risk score does not guarantee that a submission will be rejected by the Building Safety Regulator; a low risk score does not guarantee that a submission will be accepted.

5.3 Customers remain solely responsible for:

  • The accuracy, completeness, and quality of their Gateway 2 submissions;
  • All decisions to submit or not submit to the Building Safety Regulator;
  • Compliance with all applicable regulations, including the Building Safety Act 2022, the Higher-Risk Buildings Regulations 2023, and any guidance issued by the Building Safety Regulator.

5.4 Gatewaychecker outputs must not be relied upon as a substitute for the independent professional judgement of a suitably qualified:

  • Fire engineer;
  • Structural engineer;
  • Principal designer;
  • Building safety manager; or
  • Other competent professional relevant to Gateway 2 compliance.

5.5 Gatewaychecker accepts no liability for any BSR decision (acceptance, rejection, or request for information) made in respect of any submission that was reviewed using the Gatewaychecker service.

5.6 The criteria ontology used by Gatewaychecker represents Gatewaychecker's interpretation of publicly available BSR guidance and rejection patterns. It is not an official BSR product and has not been approved or endorsed by the Building Safety Regulator or the Health and Safety Executive.


6. Data Processing

6.1 Each party will comply with its obligations under applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018.

6.2 When Gatewaychecker processes personal data on your behalf (as a data processor), the terms of the Data Processing Agreement govern that processing. A template DPA is available at /dpa. To execute a signed DPA, contact legal@gatewaychecker.co.uk.

6.3 The Privacy Notice governs Gatewaychecker's processing of your personal data as a data controller.


7. Intellectual Property

7.1 Customer documents: You retain all ownership rights in the documents you upload to Gatewaychecker. Gatewaychecker does not claim any rights in your documents. You grant Gatewaychecker a limited, non-exclusive licence to process your documents solely to provide the service.

7.2 Platform and ontology: Gatewaychecker Ltd owns all rights in the Gatewaychecker platform, software, criteria ontology (lib/criteria.ts and related versions), analysis pipeline, and all associated intellectual property. Nothing in these terms transfers any rights in the platform or ontology to you.

7.3 Reports and findings: AI-generated reports and findings produced from your documents are provided to you for your use. Gatewaychecker does not claim rights in the specific outputs generated from your specific documents.

7.4 No reverse engineering: You may not attempt to reverse engineer, decompile, or derive the criteria ontology, AI prompts, or scoring logic from the outputs of the service.


8. Limitation of Liability

8.1 To the maximum extent permitted by applicable law, Gatewaychecker's total liability to you for any claim arising out of or related to these Terms of Service or the use of the service (whether in contract, tort, or otherwise) shall not exceed the total fees paid by you to Gatewaychecker in the 12 months immediately preceding the event giving rise to the claim.

8.2 Gatewaychecker shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to: loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or cost of substitute services — even if Gatewaychecker has been advised of the possibility of such damages.

8.3 Nothing in these terms limits or excludes liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited by applicable law.

8.4 The advisory disclaimer in clause 5 forms part of and is integral to this limitation of liability.


9. Termination

9.1 Termination by customer: You may cancel your subscription at any time from the billing settings page. Termination takes effect at the end of the current billing period.

9.2 Termination by Gatewaychecker: Gatewaychecker may suspend or terminate your account immediately and without notice if you: materially breach these terms; engage in fraudulent activity; fail to pay amounts due; or if required to do so by applicable law.

9.3 Effect of termination: On termination, your access to the service will cease. Your data will be retained for 30 days following termination, during which time you may request an export of your submission data. After 30 days, your data will be deleted except for billing records, which are retained for 7 years.


10. Changes to These Terms

Gatewaychecker may update these Terms of Service from time to time. We will provide at least 30 days' notice of material changes by email to the account holder and by posting the updated terms on the trust portal. Your continued use of the service after the notice period constitutes acceptance of the revised terms.


11. Governing Law and Disputes

11.1 These Terms of Service are governed by and construed in accordance with the laws of England and Wales.

11.2 Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, subject to any mandatory rights you may have under applicable consumer protection law.

11.3 Before initiating formal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiation for a period of 30 days.
